  • Fees are payable in advance

9. Service Availability

11. Termination

11.1 Termination by Customer

We may terminate services immediately if you:

  • Breach these Terms or your rental agreement
  • Fail to pay fees when due
  • Engage in prohibited activities
  • Provide false information

11.3 Effect of Termination

Upon termination:

  • Your access to applications will cease
  • Outstanding fees become immediately due
  • You must return or destroy confidential materials
  • Data export assistance may be provided (fees may apply)

12. Limitation of Liability

To the maximum extent permitted by law, our liability is limited as follows:

  • Total liability shall not exceed fees paid in the 12 months prior to the claim
  • We exclude liability for indirect, consequential, or special damages
  • We exclude liability for data loss (subject to our backup services)
  • Nothing excludes liability for death, personal injury, or fraud

13. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the applications in breach of licensing terms
  • Your violation of applicable laws or regulations
  • Unauthorized use of your account credentials
  • Your breach of these Terms

14. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, strikes, or telecommunications failures.

15. Governing Law and Jurisdiction

These Terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Providing 30 days' notice for material changes
  • Continuing to use services constitutes acceptance of changes

17. Severability

If any provision of these Terms is found unenforceable, the remainder shall continue in full force and effect.

18. Entire Agreement

These Terms, together with your rental agreement and Privacy Policy, constitute the entire agreement between the parties and supersede all prior understandings.
